Carrie Mitnick represents companies in all aspects of employee benefits and executive compensation law. Ms. Mitnick counsels clients with respect to a variety of design and administrative issues necessary for benefit plans to comply with the numerous federal and state laws governing plans, including the Internal Revenue Code, ERISA, COBRA, Medicare Secondary Payer Rules and HIPPA. She also advises clients with respect to domestic partner and same-sex spouse benefits, as well as the impact of health care reform and provides guidance in connection DOL and IRS plan audits and claims involving benefit plan participants and fiduciaries. Ms. Mitnick counsels clients with respect to the IRS’s and DOL’s voluntary correction programs.
Ms. Mitnick also assists clients on a variety of compensation issues, including the negotiation of employment and severance agreements, as well as the employee benefit aspects of M&A transactions. She has advised clients with respect to structuring reductions in force (including multi-phased RIFs involving voluntary and involuntary terminations) and drafting documents related to RIFs.
Ms. Mitnick has represented clients sponsoring a myriad of benefit plans, including single employer, multiple employer and multiemployer defined benefit and money purchase, profit sharing plans, 401(k), 403(b) and 457 plans, as well as health, cafeteria and severance plans. She also counsels clients with respect to the design and operation of nonqualified plans.
