Limited liability companies and limited partnerships formed in or qualified to do business in New York State are subject to the unique publication requirements of the New York limited liability company and partnership laws. While many have expressed concerns that this law might be unconstitutional, the Appellate Division, First Department of the New York Supreme Court has held that the publication requirement of the limited liability law is constitutional. This alert highlights the recent amendments to New York’s limited liability and limited partnership publication laws.
