Michael Farinacci is an Associate in the firm’s Corporate Department. His practice is focused on cross-border capital market transactions, corporate finance deal structuring, securities law analysis, and corporate governance matters. He works on all aspects of American Depositary Receipt facility establishment and maintenance, including issuer-sponsored IPOs, follow-on and secondary offerings, at-the-market offerings, registered direct offerings, spin-offs, tender, exchange and rights offers, going-private transactions, share splits, and ratio changes. Mr. Farinacci also advises foreign private issuers in connection with Securities Act and Securities Exchange Act registration and reporting filings and equity raising transactions. In addition, he also spearheads the exploration of how cutting-edge technology resources can be tailored and deployed to best serve both client and practice groups' evolving demands.
